1. GENERAL PROVISIONS

1.1. This document (hereinafter — the “Terms”) defines the rules and conditions for the provision of services on the Madbid.com platform (hereinafter — the “Platform”) and constitutes a public offer.
1.2. Madbid.com is a marketplace for the secure buying and selling of digital assets, operating as an independent intermediary to ensure safe transactions.
1.3. By using the Platform, you confirm that you have read, understood, and agree to these Terms.

2. DEFINITIONS

2.1. Platform — the Madbid.com website and its related services.
2.2. User — an individual or legal entity registered on the Platform.
2.3. Seller — a User who lists a digital asset for sale.
2.4. Buyer — a User who purchases a digital asset.
2.5. Digital Asset — the object of a transaction, including social media accounts, websites, Telegram channels, TikTok pages, and other digital projects.
2.6. Transaction — the process of buying and selling a Digital Asset between a Buyer and a Seller through the Platform.

3. SUBJECT OF THE AGREEMENT

3.1. The Platform provides services for organizing secure transactions between Sellers and Buyers of digital assets, acting as an escrow agent and intermediary.
3.2. The Platform is not the owner of the digital assets being sold and only provides a secure mechanism for the transfer of rights to such assets.

4. USER REGISTRATION AND ACCOUNT

4.1. Registration is required to use the Platform.
4.2. Users must provide accurate, current, and complete information during registration and keep their data up to date.
4.3. Users are responsible for maintaining the confidentiality of their login credentials.
4.4. The Platform reserves the right to refuse registration or suspend an account without explanation.

5. RULES AND PROCEDURE FOR TRANSACTIONS

5.1. The Seller lists a digital asset, specifying its characteristics and price.
5.2. The Buyer selects an asset and initiates a transaction by reserving funds on the Platform.
5.3. The Platform holds the Buyer’s funds until the transaction is fully completed.
5.4. After payment is confirmed, the Seller must transfer all required access credentials and rights to the digital asset.
5.5. The Buyer verifies the received access details and confirms the completion of the transaction.
5.6. Once confirmed by the Buyer, the funds (minus the commission) are transferred to the Seller.

6. COMMISSION AND PAYMENT

6.1. The Platform charges a commission for its services:

  • 4% for transactions over $250;

  • minimum commission — $10, regardless of the transaction amount.
     

6.2. Payment methods supported by the Platform:

  • cryptocurrencies (USDT Tether);

  • PayPal;

  • bank cards (where not restricted);

  • other methods upon prior agreement.
     

6.3. The Platform does not accept direct payments from sanctioned countries.

7. RIGHTS AND OBLIGATIONS OF USERS

7.1. Users have the right to:

  • list digital assets for sale;

  • purchase assets listed on the Platform;

  • receive full information about transaction conditions;

  • contact customer support.
     

7.2. Users are obligated to:

  • comply with these Terms;

  • provide truthful information;

  • not use the Platform for fraudulent activities;

  • not violate the rights of third parties;

  • fulfill their transaction-related obligations.
     

8. RIGHTS AND OBLIGATIONS OF MADBID

8.1. The Platform has the right to:

  • amend these Terms;

  • suspend or block accounts in case of rule violations;

  • refuse to process transactions;

  • collect fees for services rendered.
     

8.2. The Platform is obligated to:

  • ensure secure transactions;

  • maintain confidentiality of user information;

  • provide support in case of issues;

  • transfer funds to Sellers in due time.
     

9. LIABILITY OF THE PARTIES

9.1. Users are fully responsible for:

  • accuracy of the information they provide;
    legality of the origin and sale of digital assets;

  • fulfillment of their transaction obligations.
     

9.2. The Platform is responsible for:

  • security of stored funds;

  • proper functioning of the transaction mechanism;

  • maintaining confidentiality of user data.
     

10. LIMITATION OF LIABILITY

10.1. The Platform is not responsible for:

  • the quality of digital assets being sold;

  • violations of third-party rights by Users;

  • technical failures beyond the Platform’s control;

  • losses caused by force majeure circumstances.

11. CONFIDENTIALITY AND DATA PROTECTION

11.1. The Platform collects and processes personal data according to its Privacy Policy.
11.2. Users consent to the processing of their personal data upon registration.
11.3. The Platform takes necessary measures to protect Users’ personal data.

12. INTELLECTUAL PROPERTY

12.1. All rights to the content, design, and software code of the Platform belong to Madbid.
12.2. Users agree not to copy or reproduce any elements of the Platform without prior authorization.

13. DISPUTE RESOLUTION

13.1. All disputes should be resolved through negotiations.
13.2. If no agreement is reached, disputes shall be resolved according to the laws of the country where the Platform is registered.

14. AMENDMENTS TO THE TERMS

14.1. The Platform may amend these Terms unilaterally.
14.2. Amendments become effective upon publication on the Platform.
14.3. Users must regularly review the Terms for updates.

15. FINAL PROVISIONS

15.1. These Terms constitute the entire agreement between the User and the Platform.
15.2. If any provision is deemed invalid, the remaining provisions remain in effect.
15.3. Issues not covered by these Terms shall be resolved in accordance with applicable law.
15.4. These Terms take effect upon the User’s registration on the Platform or upon the start of using the Platform’s services
